Creator Terms

These Creator Terms apply when you publish an App Kit on Taskade: to the public gallery at taskade.com/apps, to your creator profile at taskade.com/@yourhandle, as a template anyone can clone, or at a price. They add to, and do not replace, the Terms of Service. If the two disagree about publishing or selling, these terms apply.

Sections A to H apply to every published Kit, free or paid. Sections 1 to 17, including 5A, apply only if you set a price. You accept them when you set up payouts in Settings > Earnings. Until you accept the current version, you cannot set a price.

Plainly: you publish your Kits and people clone them. If you charge for one, Taskade sells it for you and keeps 10%.

The deal, in short

Here are the terms that matter most, up front so nothing important is buried. This summary is for convenience only. The lettered and numbered sections below are what govern.

You keep ownership, and publishing is lasting. You still own your Kit. Everyone who sees a published Kit gets a lasting right under the Terms of Service to use and modify what you published, and if you set a price, sections 3 and 4 add the buyer's licence.
Anyone can clone a free Kit. A clone copies the app, its agents, its automations, and the projects it uses, including their contents. Connected accounts and secrets are never copied. Check a Kit for private data before you publish it.
A clone is a snapshot, and unpublishing does not undo it. People get the version you had published when they cloned. Copies already taken keep working after you unpublish.
We show your name next to your Kit. Your display name, handle and avatar appear with the Kit while it is published.
You keep 90% of a paid Kit. Taskade sells it for you, keeps 10%, and pays the card fees out of that 10%.
Paid Kit money is normally held 30 days, then paid weekly. Payouts go through Stripe once your balance reaches US$100. A refund takes back your share of that sale and ends that buyer's access. A lost chargeback also costs the provider's dispute fee, currently US$15.
We can take a Kit down. For a breach of these terms, an infringement claim, fraud, a security or legal risk, or a Kit that does not do what it says. We tell you why where we can.

A. What publishing is

In these terms, a Kit (or App Kit) is an app you built on Taskade together with the agents, automations, and projects it uses. Your creator profile is your public page at taskade.com/@yourhandle. A clone is a copy of a published Kit made into another user's workspace. A version is the state of a Kit at the moment you publish it, and a clone copies the version current when the clone is made.

You publish a Kit when you make an app public in the gallery, share it as a template, list it on your public creator profile, or set a price on it. A published Kit is public User Content under the Terms of Service. The public gallery, public creator profiles, and template sharing are among the community surfaces those terms refer to. That is what gives other people the right to clone it.

B. The licences

The Terms of Service grant Taskade, and every other user, a perpetual licence over public User Content. Publishing a Kit makes it public User Content, so both licences cover it. For a Kit anyone can clone, these terms leave both licences exactly as the Terms of Service write them. For a Kit you list at a price, section 3 sets out the narrower rights Taskade takes, as the Terms of Service permit.

In practice, for a Kit anyone can clone: (a) each person may clone it into their own workspaces as many times as they like and modify their copies; (b) each clone is the version you had published at the moment of cloning, and your unpublished edits are never part of it; (c) a copy taken while the Kit was published keeps working after you unpublish, delist or delete the Kit, or close your account, unless we switch off copies under section G; (d) the licence lets people reuse and republish what you published, but presenting another creator's Kit as your own work misrepresents who made it, which the Content Standards in the Terms of Service prohibit.

C. Attribution

While a Kit is published we display your display name, handle and avatar with it: in the gallery, on your public creator profile, on the Kit's page, and where we promote the Kit or the gallery. This names you as the Kit's creator using your public profile, and it is how people find your other work. If you no longer want your name shown with a Kit, unpublish it. Marketing we have already published may still carry it. This attribution is separate from the Publicity Rights section of the Terms of Service, which is about naming your organisation as a customer in our marketing.

D. Your promises about a published Kit

You represent and warrant that: you created the Kit or hold all rights, including any moral rights, needed for the licences in the Terms of Service and, if priced, sections 3 and 4; it infringes no third-party rights; it contains no malware, credential harvesting, or unauthorised scraping; it embeds no third-party paid component you lack redistribution rights for; it contains no payment card data, health records, government identity numbers or biometric data (the categories listed under Acceptable Use for AI Features in the Terms of Service) and complies with the Content Standards in the Terms of Service; where the Kit collects personal data from the people who use a copy of it, it does so lawfully and the Kit's description says so; the description discloses any external paid service someone must have for the Kit to work; and the Kit's name and description are accurate.

Before you publish a version, check it for anything that should not be copied to strangers: customer records, internal documents, API keys or other secrets pasted into a project, and content a collaborator contributed that you do not have the right to publish. Connected accounts and stored secrets are never copied by a clone, but text in a project is. By publishing a version you confirm these promises for that version.

E. Curation

Which Kits are featured, how they are categorised, ranked, badged, and shown in search is our editorial decision. Publishing confers no entitlement to placement, and we may change or remove placement at any time.

F. Free Kits and money

We do not pay you for a Kit that anyone can clone free. Publishing a free Kit creates no expectation of a revenue share, now or later. If you want to be paid for a Kit, set a price, and sections 1 to 17, including 5A, then apply.

G. Removal

The Terms of Service set out when we may remove content, disable an app, or suspend an account, and how infringement notices and appeals work. They apply to every published Kit, and nothing here narrows them. When we delist a Kit it leaves the gallery, your profile, and cloning. For a Kit anyone can clone, copies already taken keep working unless we remove the Kit under the Terms of Service, for example for infringement, malware, or legal risk, in which case we may switch those copies off too. For a Kit you listed at a price, sections 4 and 12 say what happens to buyers. An account that receives three substantiated infringement notices within twelve months loses selling rights permanently under the Terms of Service, loses the ability to publish new Kits, and may be terminated.

H. Changes to sections A to H

We may change sections A to H under the Modification of the Terms section of the Terms of Service: we post the new version with a new Last Updated date, we tell you by email or in the product before a change that meaningfully reduces your rights takes effect, and changes apply only going forward. Section 14 governs changes to sections 1 to 17, including 5A, and where section 14 says these terms it means those sections.

Sections 1 to 17, including 5A, below apply only to a Kit you list at a price.

1. Our role: your agent, and the merchant of record

You appoint Taskade (Taskcade Inc.) as your non-exclusive agent to market and sell licences to your Kit. Taskade sells in its own name, on your behalf, and is the merchant of record for every sale: we contract with the buyer, collect payment, issue the receipt, handle buyer support and refunds, and calculate and remit sales tax and VAT where we are registered. The Kit itself remains yours; the licence the buyer receives is granted by you through Taskade. What we pay you under section 6 is your share of the proceeds of your own sales, after our fee.

2. Who can sell

You may list a paid Kit if: your account is in good standing; you have accepted the current version of these terms; you are at least 18 and able to enter a binding contract where you live; neither you nor your payout account holder is resident in a sanctioned or embargoed jurisdiction or on any US, EU or UK sanctions list (including the OFAC SDN list); and you maintain one payout account. To be paid you must complete payout onboarding with Stripe and have payouts enabled. By completing onboarding you also accept the Stripe Connected Account Agreement. Self-serve payouts are available only in the countries shown in the seller flow.

3. The licence you grant us

For each Kit you list at a price, you grant Taskade a worldwide, non-exclusive licence, for as long as the Kit is listed and thereafter as (c) requires, to: (a) reproduce, display and distribute the Kit to buyers, and permit each buyer to clone and modify it; (b) reproduce and display the Kit's name, description, screenshots, metadata, and a live, read-only preview of the Kit (which does not permit cloning or export) to market the Kit and the Taskade marketplace, and to use the Kit internally for administrative and demonstration purposes; (c) continue to serve every version of the Kit you have published to people who already bought it, including after you delist or archive it or after this agreement ends, unless the Kit is removed under section 12.

We do not take the right to distribute a priced Kit free of charge. A promotion, bundle, or giveaway needs your opt-in, or we pay you your share as though it were sold.

4. What the buyer gets

A non-exclusive, personal and non-transferable licence to clone the Kit into their own workspaces and modify it for their own use, for as long as they keep a Taskade account and subject to the Terms of Service. One purchase permits repeated cloning by that buyer. No right to resell, relist, or redistribute the Kit itself. The buyer receives the version you have most recently published at the moment they clone; your unpublished edits are never part of a sale. You may not offer your Kit to buyers on terms that differ from these, and you may not withdraw a licence a buyer has already received. We may end a buyer's access to a Kit, refunding what they paid, where we remove it under section 12 for infringement, malware, or legal risk.

5. Your promises about the Kit

You represent and warrant that: you created the Kit or hold all rights, including any moral rights, needed to grant sections 3 and 4; it infringes no third-party rights; it contains no malware, credential harvesting, or unauthorised scraping; it embeds no third-party paid component you lack redistribution rights for; it contains no data subject to special legal regimes and complies with the prohibited-content rules in the Terms of Service and the rules of the card networks; where the Kit collects or processes personal data of a buyer's own users, it does so lawfully and the listing says so; the listing discloses any external paid service a buyer must have for the Kit to work; and the listing name and description are accurate. By publishing a version you confirm these promises for that version. You may not list a paid Kit derived from another creator's Kit.

5A. Reimbursement

You will reimburse us for refunds, chargebacks, provider fees, and the reasonable costs of third-party claims (including legal costs) that arise from a breach of section 5, including any claim that a Kit you listed infringes, misappropriates or otherwise violates a third party's rights. For any single sale the amount we may recover from you under this agreement is capped at your share of that sale plus the provider's dispute fee.

(a) You set the price, in US dollars, in whole dollars, within the range shown in the seller flow. We may change the permitted range prospectively; a change never alters a sale already made. (b) Taskade retains a platform fee of 10% of the gross sale price. You receive 90% of gross. (c) Payment processing costs are ours, taken from our fee; they are not deducted from your share. (d) You may change or remove your price at any time. The price in force at the moment of purchase governs that sale. (e) Sales are settled and paid in US dollars; any currency-conversion cost on your payout is yours.

7. Payout

(a) Each completed sale credits your pending balance with your share. (b) A pending balance becomes payable 30 days after the sale. We pay payable balances weekly once your payable total reaches US$100. (c) Payment is made through Stripe to your payout account. (d) The 30 days is a refund and chargeback window. It is not a financing arrangement; balances do not earn interest. (e) We may extend a hold on a specific balance while a sale is under fraud, dispute, or infringement review, or while a payout cannot lawfully be made (for example to a sanctioned destination, or before required tax documentation is complete), and will tell you when we do. (f) We may change the hold period or the minimum prospectively under section 14.

8. Refunds, disputes, clawback

(a) Buyer purchases are final except where law requires a refund or a buyer validly cancels under the Terms of Service. We may nonetheless refund a buyer at our discretion, including where a Kit is broken, misdescribed, infringing, or fraudulent. (b) A refund, or a chargeback decided against us, debits your balance by your share of that sale and ends that buyer's clone access. A lost chargeback also debits the provider's dispute fee (currently US$15). A dispute decided in our favour restores what it took. (c) A debit that takes your balance below zero is set off against your future earnings. We will invoice a negative balance only where it has stood for more than 90 days and exceeds US$50, and we may write it off at our discretion. (d) Because we are the merchant of record, refund and dispute decisions are ours. We will act reasonably and tell you the reason.

9. Buyer support

Taskade handles buyer enquiries about paid Kits. You are not required to operate a support channel, and there is no buyer-to-creator messaging in this version. If a buyer reports that your Kit does not work as described and we cannot resolve it, we may refund that buyer and debit your balance under section 8. We may delist a Kit that generates repeated substantiated complaints.

10. Taxes

(a) We calculate and remit sales tax and VAT on sales to buyers where we are registered to do so. (b) You are responsible for your own income, business, and self-employment taxes on what you earn. (c) Stripe collects your tax documentation during onboarding, and we may ask you for a W-9, W-8BEN or equivalent. We may hold payouts until the documentation we are required to have is complete. (d) Where we are required to file an information return for your earnings, or to withhold tax from a payout, we will do so and tell you.

11. PRO Kits

Taskade may designate a Kit as PRO, meaning it can only be cloned into a workspace on a paid Taskade plan. PRO is Taskade's designation, is independent of price, and does not change your share. A buyer whose workspace is not eligible is stopped before payment.

12. Delisting, suspension, takedown

We may remove a Kit's price, delist it, refund its buyers, or suspend or end your ability to sell, with notice where feasible, for breach of these terms, a credible intellectual-property claim, fraud, a security risk, legal risk, or a Kit that does not do what its listing says. A delisted Kit leaves the gallery, checkout and cloning; people who already bought keep their access (except as section 4 provides for removals for infringement, malware, or legal risk), and the listing's price and seller are unchanged so a mistaken report can be fully reversed. Where selling is suspended on your account you may still remove your prices but not set new ones.

Repeat infringer policy: an account that receives three substantiated infringement notices within twelve months, or one substantiated notice concerning a Kit listed at a price, loses selling rights permanently and may be terminated. Knowingly false infringement claims may also result in loss of selling rights.

13. Buyer privacy

You receive aggregate sales information. You do not receive buyers' identities or contact details, and you have no role in processing buyer data: Taskade is the data controller for it. A Kit sale does not give you a marketing list.

14. Changes to these terms

Changes take effect prospectively. A change to the platform fee, the payout hold, the payout minimum, the clawback rule, or the permitted price range does not apply to you until you accept the new version. Until you accept, you cannot set new prices; your existing listings, sales, and balances are untouched. Continued selling after acceptance is acceptance.

15. Ending it

You may stop selling at any time by removing your prices. Buyers keep their access (section 3(c)). A pending balance is still paid on the normal schedule unless it is subject to a hold under section 7(e). We may end your selling rights under section 12.

16. Independent parties

Beyond the sales agency in section 1, nothing here creates employment, partnership, or joint venture.

17. Everything else

The Terms of Service govern governing law, dispute resolution, class-action waiver, and limitation of liability, and they apply here, except that: (a) the limitation of liability does not limit our obligation to pay you amounts we have collected on your behalf from sales of your Kits; (b) if you sell as an individual, the AAA Consumer Arbitration Rules and their fee schedule apply to any arbitration; and (c) if you are a consumer in the EU or UK, nothing here removes rights you cannot waive or your right to bring claims in the courts of your home country.
